1. Acceptance of Terms
By accessing or using the website at pandaprintworks.com, creating an account, or placing an order with Panda Prints LLC (“Panda Prints,” “we,” “us,” or “our”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, do not use this website or place an order.
You must be at least 18 years of age to place an order or create an account. By placing an order or creating an account, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into a binding contract. Orders placed by individuals under 18 are not valid and may be cancelled at our discretion.
These Terms apply to all visitors, customers, and others who access or use our website or services.
2. Privacy Policy
Your use of our website and services is also subject to our Privacy Policy, which is incorporated into these Terms by reference. The Privacy Policy describes how we collect, use, and protect your personal information. By agreeing to these Terms, you also acknowledge and agree to the Privacy Policy.
3. Changes to Terms
Panda Prints LLC reserves the right to update or modify these Terms at any time. Changes will be posted to this page with an updated effective date. Your continued use of our website or services after changes are posted constitutes your acceptance of the updated Terms. We recommend reviewing this page periodically.
4. Use of This Website
You agree to use this website only for lawful purposes and in accordance with these Terms. The following are prohibited:
- Using automated tools, bots, or scripts to scrape, crawl, or extract data from this website
- Placing orders through automated means without our express written consent
- Reselling or white-labeling our services without a written wholesale or reseller agreement
- Framing, mirroring, or embedding any portion of this website without permission
- Attempting to gain unauthorized access to any part of our website or systems
- Using this website in any way that could damage, disable, or impair its operation
- Submitting false or misleading information in connection with any order or account
5. Customer Accounts
You may create an account to streamline future purchases and access your order history. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.
You agree to provide accurate, current, and complete information when creating your account and to update it as necessary. Panda Prints LLC reserves the right to suspend or terminate any account at any time, for any reason, including but not limited to violation of these Terms, suspected fraud, or conduct that we determine is harmful to our business or other customers. You will be notified if your account is terminated.
6. Orders and Payment
All orders placed through our website require full payment at the time of checkout. We accept payment via Stripe and PayPal. Placing an order constitutes an offer to purchase; your order is confirmed when you receive a written order confirmation from us.
Panda Prints LLC reserves the right to cancel any order at any time. If we cancel your order, you will receive a full refund minus any non-refundable fees already incurred. See our Refund & Return Policy for full details on cancellations and refunds.
Failed or Declined Payments: If a payment is declined or fails after an order is placed, the order will be automatically voided and production will not begin. It is your responsibility to ensure payment is successfully processed. Panda Prints LLC is not responsible for delays or losses resulting from failed payments.
Pricing Errors: In the event of a pricing error on our website, Panda Prints LLC reserves the right to cancel any order placed at the incorrect price and issue a full refund. We are not obligated to fulfill orders placed at erroneous prices.
Net Payment Terms: Payment is due upfront by default for all orders. Net payment terms may be extended at the sole discretion of Panda Prints LLC for established accounts, and only when confirmed in writing. No net terms are implied or guaranteed.
7. Quotes and Estimates
All pricing quotes and estimates provided by Panda Prints LLC are valid for 30 days from the date of issue unless otherwise stated in writing. After 30 days, quotes are subject to change without notice due to fluctuations in material costs, supplier pricing, or other factors. Panda Prints LLC is not obligated to honor expired quotes.
A quote does not constitute a confirmed order. Orders are confirmed only upon receipt of payment or a signed written agreement.
8. Turnaround Times
Estimated turnaround times are provided as a courtesy and are not guaranteed. Panda Prints LLC is not liable for delays caused by supplier issues, shipping carrier delays, equipment issues, high order volume, or any circumstances outside our reasonable control.
If your order has a hard deadline, you must notify us in writing at the time of order placement. We will confirm in writing whether the deadline can be met. If we cannot confirm the deadline in writing, it is not guaranteed.
Rush orders may be available upon request and are subject to availability.
9. Intellectual Property — Our Content
All content on this website, including but not limited to text, graphics, logos, images, and design layouts, is the property of Panda Prints LLC or its content suppliers and is protected by applicable intellectual property laws. You may not reproduce, distribute, modify, or create derivative works from any content on this website without our express written permission.
10. Intellectual Property — Customer Submissions
By submitting artwork, logos, images, or other creative files to Panda Prints LLC in connection with an order, you represent and warrant that:
- You own the submitted artwork or have the legal right and authorization to use it
- The artwork does not infringe on any third-party copyright, trademark, trade dress, or other intellectual property rights
- You have the right to authorize Panda Prints LLC to reproduce the artwork for your order
By submitting artwork to Panda Prints LLC, you grant us a limited, non-exclusive, royalty-free license to reproduce, modify as necessary for production, and print your submitted artwork solely for the purpose of fulfilling your order. This license does not grant Panda Prints LLC any ownership rights in your artwork beyond what is stated in Section 12.
Panda Prints LLC does not verify ownership of submitted artwork and is not responsible for any copyright or trademark infringement claims arising from customer-submitted designs. We reserve the right to decline any order containing artwork we reasonably believe may infringe on third-party rights.
Orders containing logos, marks, or designs belonging to sports teams, entertainment properties, brands, or other third parties are handled on a case-by-case basis and may be declined at our sole discretion.
11. Digitization File Ownership
Embroidery digitization files created by Panda Prints LLC are and remain the exclusive intellectual property of Panda Prints LLC. By placing a digitization order, you are granted a limited, non-exclusive, non-transferable, non-sublicensable license to use the resulting file solely for orders placed through Panda Prints LLC. This license does not transfer ownership of the file and may not be assigned to any third party.
Digitization fees are non-refundable under all circumstances. If you wish to use your digitization file with another provider, you may purchase the file outright for a one-time fee of $150 by contacting us at info@pandaprintworks.com.
12. Portfolio and Marketing Rights
Panda Prints LLC reserves the right to photograph completed orders and use those images for marketing, portfolio, social media, and promotional purposes. By placing an order, you grant Panda Prints LLC a non-exclusive, royalty-free, perpetual license to display images of your completed order in connection with our business.
If your order contains confidential, proprietary, or sensitive branding that you do not wish to be used in our marketing materials, you must notify us in writing at info@pandaprintworks.com at the time of order placement. We will honor written confidentiality requests on a best-efforts basis.
13. Indemnification
You agree to indemnify, defend, and hold harmless Panda Prints LLC, its owners, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or related to:
- Your use of our website or services
- Any artwork, logos, or files you submit that infringe on third-party intellectual property rights
- Your violation of these Terms
- Any false or misleading information you provide in connection with an order or account
- Your violation of any applicable law or regulation
14. Wholesale and B2B Accounts
Panda Prints LLC offers wholesale and business-to-business (B2B) pricing through two pathways:
- Wholesale Application: Businesses may apply for a wholesale account through our website. Approved wholesale accounts receive access to wholesale pricing tiers. Panda Prints LLC reserves the right to approve or deny any wholesale application at its sole discretion.
- Direct Agreement: B2B pricing may also be extended through a separate written quote or agreement negotiated directly with Panda Prints LLC.
Wholesale and B2B pricing is not publicly advertised and is subject to change. Approval for a wholesale account does not guarantee any specific pricing, availability, or turnaround time.
B2B Deposits: All B2B orders invoiced outside of our standard WooCommerce checkout require a 50% non-refundable deposit before production begins. The remaining balance is due in full before the order is shipped or available for pickup. The deposit is non-refundable in all circumstances except where Panda Prints LLC determines it is unable to complete the order, in which case the deposit will be refunded in full.
15. Limitation of Liability
To the fullest extent permitted by applicable law, Panda Prints LLC shall not be liable for any indirect, incidental, consequential, special, or punitive damages arising from or related to your use of our website, services, or products, including but not limited to lost profits, lost revenue, loss of data, event costs, or business interruption, even if Panda Prints LLC has been advised of the possibility of such damages.
Our maximum aggregate liability to you for any claim arising out of or related to your order or use of our services is limited to the total amount you paid for the specific order giving rise to the claim.
Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, our liability is limited to the fullest extent permitted by law.
16. Disclaimer of Warranties
Our website and services are provided on an “as is” and “as available” basis without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement. Panda Prints LLC does not warrant that the website will be uninterrupted, error-free, or free of viruses or other harmful components.
17. Right to Refuse Service
Panda Prints LLC reserves the right to refuse, cancel, or modify any order at our sole discretion. This includes but is not limited to orders containing artwork that infringes on third-party intellectual property or trademarks, content that is offensive, obscene, or illegal, files that cannot be reproduced to our quality standards, or orders we are otherwise unable to fulfill. In the event we cancel your order, you will receive a full refund minus any non-refundable fees already incurred.
18. Third-Party Services
Our website and services rely on third-party providers including payment processors, shipping carriers, and analytics platforms. Panda Prints LLC is not responsible for the actions, policies, or failures of any third-party service provider. Your use of third-party services is subject to their respective terms and privacy policies.
Our website may contain links to third-party websites. We do not endorse and are not responsible for the content or practices of any linked third-party sites.
19. Electronic Communications
By creating an account or placing an order, you consent to receive electronic communications from Panda Prints LLC, including order confirmations, shipping updates, and other transactional messages. These communications are necessary for fulfilling your order and cannot be opted out of while an active order is in progress.
Promotional and marketing communications are optional. You may opt out at any time by using the unsubscribe link in any marketing email or by contacting us at info@pandaprintworks.com.
20. Governing Law and Dispute Resolution
These Terms and any disputes arising from them shall be governed by and construed in accordance with the laws of the State of Georgia, without regard to its conflict of law provisions. Any legal action arising from or related to these Terms or your use of our services shall be brought exclusively in the state or federal courts located in Cobb County, Georgia, and you consent to the personal jurisdiction of those courts.
21. Force Majeure
Panda Prints LLC shall not be liable for any failure or delay in performing our obligations where such failure or delay results from circumstances beyond our reasonable control, including but not limited to natural disasters, fire, flood, severe weather, acts of God, pandemics, government actions or restrictions, supplier failures or shortages, power outages, or other events outside our reasonable control (“Force Majeure Event”).
In the event of a Force Majeure Event, we will notify you as soon as reasonably practicable. We will either fulfill your order when the Force Majeure Event has resolved or, if fulfillment is no longer possible, issue a full refund for any amounts paid. Our liability in a Force Majeure Event is limited to issuing that refund and does not extend to any indirect or consequential damages.
22. Waiver
Our failure to enforce any provision of these Terms on any occasion shall not be construed as a waiver of our right to enforce that provision on any other occasion, nor shall it be construed as a waiver of any other provision. No waiver by Panda Prints LLC of any term shall be effective unless made explicitly in writing.
23. Assignment
You may not assign, transfer, or delegate your rights or obligations under these Terms to any third party without our prior written consent. Any attempted assignment without consent is void. Panda Prints LLC may assign or transfer these Terms and our rights and obligations hereunder, in whole or in part, at any time without restriction, including in connection with a merger, acquisition, sale of assets, or other business transfer.
24. Severability
If any provision of these Terms is found to be unenforceable or invalid by a court of competent jurisdiction, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will continue in full force and effect.
25. Entire Agreement
These Terms, together with our Privacy Policy, Refund & Return Policy, Cookie Policy, Shipping, Delivery & Claims Policy, and Customer-Supplied Items & Decoration Liability Policy, constitute the entire agreement between you and Panda Prints LLC with respect to your use of our website and services, and supersede all prior agreements and understandings.
26. Customer-Supplied Items
When a Customer provides garments, substrates, drinkware, or any other physical item for Decoration Services (embroidery, laser engraving, laser cutting, DTF heat transfer, sublimation printing, or any other production process), a separate and additional policy governs that transaction. All Customers who submit Customer-Supplied Items are required to review and are bound by our full Customer-Supplied Items & Decoration Liability Policy, which includes an express assumption of risk, a limitation of liability, and a binding release executed by the act of payment.
Key terms include:
- All Decoration Services carry inherent risk of damage to or destruction of Customer-Supplied Items
- Payment on any order involving Customer-Supplied Items constitutes the Customer’s binding agreement to assume all such risks and release Panda Prints LLC from liability
- Panda Prints LLC’s maximum liability for damaged Customer-Supplied Items is limited to the lesser of the item’s documented replacement cost or the amount paid for Decoration Services on that item
- Panda Prints LLC reserves the right to refuse any Customer-Supplied Item at its sole discretion
